These general terms and conditions of sale apply to all deliveries of Products from SolarNordics
For the delivery of products in SolarNordics regular range, our general purchase and delivery conditions apply as below, unless another special agreement has been entered into. For any other products, which are not part of the regular range but are provided at the Buyer’s special request, the relevant manufacturer’s order and delivery conditions apply.
These General Terms and Conditions of Sale replace SolarNordics previously applied general terms and conditions of sale from the date specified below. The solar wholesaler reserves the right to change these General Terms and Conditions of Sale at any time. Amended General Terms and Conditions of Sale apply directly. All purchases of Products must be for the Buyer’s professional use.
Since the Buyer is liable for payment for all purchases made on the specified customer number, the Buyer must always inform the Solar Wholesaler of changes in authorizations and notify when an authorization is to end that no longer belongs to the Buyer’s organization. The buyer is responsible for ensuring that login information to SolarNordics webshop does not fall into unauthorized hands. The buyer is responsible for all purchases made by people who have received login details to SolarNordics webshop. The solar wholesaler has the right to close a customer account in the event that the Buyer has not shopped for a period of at least 24 months.
1.1 Products are ordered via SolarNordics webshop by the Buyer or via quotation. When ordering via the webshop and calculation tools, an order confirmation is sent immediately after the order has been placed. After processing the order, an order confirmation with delivery notice is sent to the e-mail address that the Buyer has specified in his customer profile/order document. After receiving the order, the Solar Wholesaler has three (3) working days (the acceptance period) to accept or decline the Buyer’s order in its entirety or parts of it. During the acceptance period, however, the order is binding on the Buyer.
1.2 The solar wholesaler cannot guarantee that goods ordered by the Buyer at any time are available in stock and/or can be delivered within a certain time at the desired price. We also reserve the right to final sales and intermediate sales of products.
1.3 Buyers are responsible for all information to their end customers regarding delivery times and conditions, handling of products, product guarantees, etc. The solar wholesaler normally assists the Buyer with such information via our webshop, as well as in contacts with manufacturers regarding product warranty matters, but the responsibility towards the end customer rests with the Buyer.
1.4 Temporary campaign/offer may occur where special requirements for purchase may occur in order to take part in the campaign/offer.
1.5 Cancellation and change of an order for SolarNordics regular range can be made up to 48 hours before the delivery date stated on the sent order acknowledgment with delivery notice without charge. For cancellations within 48 hours of the delivery date, a cancellation fee of 20% of the order value and a fixed fee of USD 600 will be added. Cancellation and change of order must be registered via support at SolarNordics.
2.1 For delivery within Sweden, in addition to these delivery conditions, the general regulations of the technical companies NLS 19, as well as FCA Incoterms 2020 apply (the goods are delivered to the carrier, normally from our distribution center). In the event that these general conditions deviate from NLS 19 and/or FCA Incoterms 2020, these general conditions take precedence.
2.2 The buyer is responsible for all costs relating to loading, shipping, possible crane truck costs and other vehicles and its personnel. For ordered goods that are not part of SolarNordics regular stock range, the Buyer will be charged all loading and shipping costs, as well as other possible fees attributable to the delivery, unless otherwise agreed in writing.
2.3 Delivery date always means the day the goods leave SolarNordics warehouse.
2.4 For ordered goods not received upon delivery, an administrative fee of USD 250 will be charged in addition to any incurred costs for goods handling.
2.5 Shipping price is charged and can be seen on the invoice.
3.1 Payment must be made within 30 days from the invoice date, unless otherwise agreed. In case of delay, a late payment interest is charged according to the current reference rate with an addition of 12% units.
3.2 The solar wholesaler has the right to set and change the credit limit for the Customer. In addition, the SolarNordics has the right to request advance payment, set off outstanding credits or terminate the Buyer’s account or cease delivery if the Buyer is bankrupt or undergoing reconstruction, has suspended its payments, repeatedly paid invoices late or not at all or if otherwise there is reason to assume that the Buyer is insolvent or otherwise in breach of the Agreement.
Ordered goods remain the property of the Solar Wholesaler until they have been paid for in full, unless another written agreement has been specifically made with the Buyer.
5.1 The price on the day of delivery applies unless otherwise agreed.
5.2 In the event of changes in exchange rates and commodity quotations, we therefore reserve the right to make corresponding price adjustments.
5.3 In the event of changes to government charges and fees, we reserve the right to make the necessary adjustments and charge the Buyer for these costs.
6.1 The solar wholesaler sends an invoice via e-mail to the Buyer’s specified billing address. It is also possible to receive an e-invoice. An administration fee of USD 100 is charged for payment reminders.
6.3 Environmental fee according to law is stated as a separate cost on the invoices.
6.4 For every order with a value of less than USD 1,000 net, excluding VAT, an administration fee of USD 250 is charged.
7.1 The buyer has the right to return the purchased product to the Solar wholesaler within one month of receiving the delivery, and provided that the conditions stated below are met. If the Buyer wishes to use this right of return, this must be notified in writing via Support at SolarNordics. Returned products can only be credited after the SolarNordics has performed a quality check and approved the return. Return shipping is booked by the Solel wholesaler and charged to the Buyer.
7.2 The return must be approved in writing by the Solar Wholesaler in advance and the Buyer is responsible for notifying the Solar Wholesaler of the order or invoice number, number of parcels and weight as well as any other information that the Solar Wholesaler needs for its handling in accordance with the instructions the Buyer received in connection with the Solar Wholesaler accepting the return
7.3 Returned product must be returned unused, in new condition, in unbroken packaging and in as undamaged original packaging as possible. Packing must be carried out in such a way that transport damage is prevented. Buyers must clearly note the return order number received by the Solel wholesaler on all packages without marking directly on the product(s). The buyer is responsible for the returned goods until they arrive at the receiving address specified by the Solar Wholesaler. The products that are part of the Solar Wholesaler’s regular assortment that are returned by the Buyer and are approved for return by the Solar Wholesaler are charged with a 20% return deduction and a return fee of USD 600. Only products purchased at SolarNordics can be returned to SolarNordics.
7.4 If the need for return arises as a result of incorrect picking by the Solar wholesaler, no fee is charged.
7.5 Products that are not normally returned:
- Materials, delivered more than a month ago
- Material in broken packaging
- Cartons with broken sealing
- Products discontinued from the standard range
- Unique products, customized at the request of the Buyer
- Materials in damaged packaging or without packaging
- Products whose total order value is less than USD 5,000
7.6 In the event of an unauthorized return, the Buyer may have the product returned or, if preferred, have the product scrapped. For scrapping, the buyer is charged USD 500 in handling costs and in the case of return to the Buyer, the costs for this are charged.
7.7 Other products, for example products that are not in stock at the Solar Wholesaler or that have been specially acquired at the Buyer’s request, can only be returned after approval by the Solar Wholesaler. For such approved returns, a return deduction of 20% is taken in addition to the costs charged by the manufacturer for the return. In addition, the actual shipping cost is added.
8.1 It is the Buyer’s responsibility to check the products upon delivery. Visible transport damage must be reported immediately to the carrier and a damage report drawn up. The Buyer must notify SolarNordics in writing of defects or defects in the products immediately (within five (5) days for visible defects, and twelve (12) days for hidden defects) after the Buyer discovers, or reasonably should have discovered, the defects or defects in order to invoke the right to complaint.
8.2 Returns that take place due to defects in the products can only be settled after the manufacturer of the product has given his statement, because the SolarNordics reflects the manufacturer’s conditions for the product.
8.3 Returns in connection with complaints must be approved in writing by the Solar Wholesaler. While waiting for the complaint to be decided, the buyer must take care of the goods and notify the Solar Wholesaler where the goods can be inspected if necessary. If the Buyer fails to complain according to the instructions given above, the Solar Wholesaler is released from all responsibility for the error or deficiency.
9.1 If the Solar Wholesaler anticipates that delivery (by “delivery” here is meant when the goods have been handed over to the carrier in accordance with FCA Incoterms 2020) will not be able to take place at the specified time, the Solar Wholesaler must notify the Buyer of this without delay.
9.2 The solar wholesaler is not responsible for delays due to circumstances beyond the solar wholesaler’s control.
If the delivery delay is due to circumstances on the Buyer’s side, the Solar Wholesaler has the right to a reasonable extension of the delivery time. The buyer is not entitled to damages due to delivery under these conditions.
The following circumstances constitute grounds for exemption if they result in the fulfillment of obligations under these delivery regulations being hindered or unreasonably burdensome: labor conflict and any other circumstance beyond the SolarNordics control (such as – but not limited to – fire, natural disaster or extreme natural events, war or other military obstruction, insurrection, riot, epidemic, vandalism, sabotage, terrorism, embargo, requisition or seizure, trade or currency restrictions, shortage of means of transport, general shortage of goods or new legislation, as well as failure or delay in deliveries from subcontractors caused by similar exemption grounds) and which could not reasonably be foreseen when the order was placed, the Solar Wholesaler is released from the obligation to fulfill these general delivery conditions.
As soon as the grounds for exemption according to above cease, performance according to these terms of delivery shall resume. A party that wishes to assert a ground for exemption according to above must notify the other party of this in writing without delay.
Disputes due to these delivery regulations must be finally settled in court. The arbitration shall take place in Malmö according to Swedish law.
